tZERO will go public through an initial public offering in 2026 to scale its regulated tokenization and trading platform. The plan targets private issuers, institutional treasuries and traders seeking access to real world assets (RWA). The company says the listing will fund a larger regulated system and capitalize on rising interest in tokenization.

tZERO operates an Alternative Trading System (ATS) and the tZERO Chain to convert private assets into compliant tokens. The firm reports that more than 44,000,000 shares have changed hands on its platform, signaling growing activity around regulated digital securities.

Ownership remains concentrated, with Inc. (once called Overstock) at 55% and Intercontinental Exchange (ICE) around 20%, per company statements. CEO Alan Konevsky said the firm will also consider a pre-IPO round to prepare for the listing. Regulatory positioning is central to the pitch: tZERO has worked within current rules and received FINRA approval to trade corporate debt, expanding the range of asset types it can support. The firm also shut down its retail crypto exchange, calling the move a strategic shift toward regulated digital securities.

The target market supports the IPO plan. The real world asset tokenization sector held a value of $22.6 billion in May 2025. Company and industry forecasts put the 2030 figure as high as $16 trillion, and some bullish views reach $30 trillion. Real estate leads the pack, with the sector at $2.632 billion in 2024 and a forecast to hit $19.400 billion by 2033, a yearly growth rate of 21.2 %.

Key points underscore the scale and timing: the IPO is set for 2026; more than 44,000,000 shares have traded on the platform; ownership centers on 55 % for Inc. (once called Overstock) and about 20 % for ICE; and the RWA market is forecast by the firm to reach up to $16 trillion in 2030.

tZERO’s 2026 IPO stands as a marker of institutional uptake of tokenization. The company is betting that a regulated platform will gain traction while the industry, alongside regulators, settles rules for custody and trading of tokenized assets.
